Did You Suffer Financial Losses Investing in Compass (COMP)?
A securities class action has been filed on behalf of former Anywhere Real Estate Inc. (“Anywhere”) shareholders who acquired Compass, Inc. (“Compass” or the “Company”) (NYSE: COMP) common stock in exchange for Anywhere shares in connection with the January 2026 stock-for-stock exchange by which Compass acquired and merged with Anywhere.
The action, Magloire v. Compass, Inc., et al., Case No. 1:26-cv-08885, was filed on October 7, 2026 in the U.S. District Court for the Southern District of New York. The complaint asserts non-fraud claims under Sections 11, 12(a)(2), and 15 of the Securities Act of 1933.
What Does the Compass Securities Class Action Allege?
The securities class action complaint alleges that Compass and certain current and former officers and directors of Compass and Anywhere made materially misleading statements and omitted material information in the registration statement and prospectus issued in connection with Compass’s January 2026 acquisition of Anywhere.
Specifically, the complaint alleges that the offering materials misrepresented the companies’ efforts to obtain regulatory approval and their compliance with applicable laws while failing to disclose that Compass had hired Mike Davis, a lawyer and lobbyist with ties to President Donald Trump, to obtain access to senior Department of Justice officials outside ordinary antitrust review channels and avoid an extended investigation of the merger.
The complaint further alleges that the offering materials failed to disclose the associated risks of regulatory enforcement and other adverse consequences. According to the complaint, subsequent disclosures concerning the Department of Justice’s merger review and a New York Attorney General antitrust investigation were followed by declines in Compass’s stock price.
December 7, 2026 Lead Plaintiff Deadline
Former Anywhere shareholders who received Compass common stock in exchange for their Anywhere shares in connection with the January 2026 merger have until December 7, 2026 to move the Court to seek appointment as lead plaintiff. Investors do not need to seek appointment as lead plaintiff to remain a member of the proposed class.
