Did You Suffer Losses Investing in Yiren Digital (YRD)?
On October 29, 2026, a securities class action complaint was filed against Yiren Digital Ltd. (“Yiren Digital” or the “Company”) (NYSE: YRD) and certain Company executives in United States District Court for the Central District of California.
The class action lawsuit was filed on behalf of all persons and entities other than Defendants who purchased or otherwise acquired publicly traded Yiren Digital securities between April 29, 2026 and October 13, 2026, both dates inclusive (the “Class Period”).
What Does the Yiren Digital Class Action Allege?
According to the complaint, Yiren Digital and certain executives made materially false or misleading statements and omitted material information concerning the Company’s relationship with CreditEase, its controlling shareholder. Specifically, the complaint alleges that Defendants failed to disclose that 1) CreditEase and its affiliates were experiencing severe financial distress that impaired their ability to satisfy their obligations; 2) billions of RMB owed to Yiren Digital by CreditEase affiliates were subject to significant credit risk; 3) Yiren Digital was not separate from or unaffected by CreditEase’s affairs, given shared leadership, its dependence on CreditEase, and relationships with affiliates whose products defaulted; and 4) Executive Chairman and CEO Ning Tang (“Tang”) faced material legal and regulatory risk, including potential criminal liability, arising from CreditEase’s conduct.
The complaint alleges that, on May 22, 2026, media outlets reported that CreditEase was suspending principal and interest payments on fixed-income-like wealth management products. It further alleges that reports on October 11 and 12, 2026 described CreditEase’s potential insolvency and a criminal investigation involving CreditEase and Ning Tang. Yiren Digital subsequently disclosed that criminal compulsory measures imposed on Tang could impair his ability to perform his duties, and appointed an acting CEO on October 13, 2026.
According to the complaint, Yiren Digital ADSs fell $0.27, or 14.44%, to $1.60 on May 22, 2026; fell $0.44, or approximately 44.1%, to $0.56 on October 12, 2026; and declined a further $0.1050, or approximately 18.7%, to $0.46 on October 13, 2026.
December 28, 2026 Lead Plaintiff Deadline
Yiren Digital investors have until December 28, 2026 to move the Court to seek appointment as lead plaintiff. Investors do not need to seek appointment as lead plaintiff to remain a member of the proposed class.
