Skechers Take-Private Acquisition Subject of Securities Class Action |
A securities class action has been filed on behalf of a class of investors who sold shares of Class A common stock of Skechers U.S.A., Inc. (“Skechers” or the “Company”) from April 24, 2025 through September 12, 2025 (the “Class Period”), the closing date of the take-private acquisition of Skechers by 3G Capital Partners L.P. and its affiliates, including investors who sold their Class A common stock into the merger, and excluding certain insider shareholders.
Skechers Class A common formerly stock traded on the New York Stock Exchange under the ticker symbol SKX.
The action, SM Merger/Arbitrage, L.P. v. Skechers U.S.A., Inc., et al., Case No. 2:26-cv-12327, was filed on October 21, 2026 in the U.S. District Court for the Central District of California, Western Division, and asserts claims for alleged violations of federal securities laws.
What Does the Skechers Securities Class Action Allege?
According to the complaint, the Officer Defendants sought to deceive investors by overstating the impact of changes in tariff rates on Skechers’ business shortly before announcing the take-private acquisition; manipulating the Company’s internal financial projections downward to support a valuation aligned with 3G Capital’s “best-and-final” cash offer of $63 per share; pushing the transaction through a rushed, cursory review by a committee of the Company’s Board; concealing material information concerning the higher value of alternative consideration available to shareholders; and issuing a materially false and misleading Information Statement following the announcement of the transaction.
December 21, 2026 Lead Plaintiff Deadline
Skechers investors have until December 21, 2026 to move the Court to seek appointment as lead plaintiff. Investors do not need to seek appointment as lead plaintiff to remain a member of the proposed class.
